The requirement, in our words
The instrument is a replacement, not only an addition. Part 2.5 (Designated Trading Representatives) is repealed. Part 5.6 is renamed Trading System Requirements and the AOP rule set is replaced. Rule 5.5.3 and 5.5.4 (trading management arrangements and their records) are repealed. Rule 5.6.2, 5.6.5, 5.6.8B and 5.6.11 are repealed, and 5.7.3 is repealed.
What the rule is trying to do
Several duties move rather than disappear. The authorisation and competence duties for the person who submits a message move into Rule 5.5.1. The filter duty moves from Rule 5.6.1 into Rule 5.6.3(1)(a). The further certification power moves from Rule 5.6.11 to Rule 5.6.7. The record content that sat in the trading management arrangements now sits in Rule 4.1.1 and Rule 4.1.2. The two director certification becomes a responsible officer statement. The annual notification to ASIC is not replaced.
What good practice looks like
The naming change is not cosmetic. References to Chi-X in the whole instrument become TMX, except in the Pre-Commencement definition. New definitions of TMX and TMX Market are inserted. Rule 1.1.8(1)(n) now points to Rule 5.6.7(1) rather than 5.6.11(1). Rule 5A.5.2(3) now refers only to Rule 5.6.3, and the note describes Trading System controls and arrangements. A firm that plans only for the new rules will miss the deletions. The deletions remove evidence it may still be collecting, and they remove safe harbours it may still be relying on. The transition plan should list what stops, what starts, what moves and what is renamed, and assign an owner to each.
What changed in the instrument
The whole instrument, read as a transition: 109 items, of which 19 place a duty and the rest change scope, definitions or cross-references.
Evidence an auditor or ASIC asks for
| Category | Record to keep | Retention |
|---|---|---|
| Transition register | A four column register: stops, starts, moves, renames, with the old rule, the new rule and the owner. | Current, plus version history. |
| Policy diff | The marked-up policy and procedure changes that remove the old terms and add the new duties. | Current. |
| Contract review | The review of market operator, vendor and client contracts that refer to Chi-X, AOP or DTR. | Current. |
Common gaps
- The plan covers new duties but not the repealed annual notification and two director certification.
- Documents still say Chi-X and AOP.
- The move of further certification to 5.6.7 is missed in the cross-reference update.
What to do before 17 March 2028
- Build the four column transition register.
- Search every document for the old terms and the old cross-references.
- Assign an owner and a date to each row.
